1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “Merchant”, “SHG”, “FPO”, “Producer Company”, “Retailer”, “you”, or “your”) and Ashti Ventures Pvt. Ltd. (“Bharatrath”, “we”, “us”, or “our”).

By accessing or using the Bharatrath Digital Platform (“BDP” or “Platform”), you agree to comply with these Terms.

If you do not agree with these Terms, you should not access or use the Platform.

2. Description of Services

Ashti Ventures Pvt. Ltd. provides a SaaS-based digital commerce and business management platform for SHGs, FPOs, MSMEs, artisans, retailers, and other businesses.

Depending on the plan and services selected, the Platform may include:

  • E-commerce Website Builder
  • POS Billing System
  • GST-compliant Invoicing
  • Retail ERP and Business Management
  • Product, Stock, Order and Inventory Management
  • Manufacturing and Batch Management
  • Barcode and Label Printing
  • Customer and Supplier Management
  • Multi-warehouse and Multi-store Management
  • Payment Gateway Integration
  • Reports and Analytics
  • Mobile and Web Applications

Specific features may vary depending on the subscription plan or service selected.

3. Account Registration and Responsibilities

3.1 Account Information

You agree to provide accurate, complete, and up-to-date information when creating and maintaining your account.

You are responsible for keeping your business, contact, tax, and other account information accurate and updated.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • Securing your password, OTP, and other authentication information
  • All activities carried out through your account
  • Immediately notifying us of any suspected unauthorized access or security breach

You can report unauthorized access or security concerns to [email protected].

We will take reasonable measures to protect the Platform, but we cannot guarantee that unauthorized access will never occur.

4. Payment Gateway and Fees

4.1 Payment Gateway

Certain payment-related features may be provided through third-party payment service providers such as Razorpay, Cashfree, or other authorized payment partners.

Payment processing, settlement, refunds, chargebacks, and payment disputes may be subject to the respective terms and policies of the applicable payment service provider and financial institution.

Bharatrath does not control banking networks or third-party payment systems and is not responsible for delays or failures caused by such third-party systems.

4.2 Subscription and Service Fees

Depending on the services selected, users may be required to pay:

  • One-time onboarding or setup fees
  • Subscription charges
  • Applicable supplier or service-related fees
  • Applicable taxes

Fees and billing terms will be communicated or displayed before purchase or subscription, wherever applicable.

Unless otherwise stated in the applicable refund policy, fees are prepaid and are subject to the applicable cancellation and refund terms.

We may revise our fees from time to time. Where applicable, changes to subscription pricing will be communicated to users before the revised pricing takes effect for a renewal or new billing period.

4.3 Taxes

You are responsible for providing accurate tax and business information and for complying with applicable tax laws and regulations relating to your business activities.

Where applicable, Bharatrath may collect applicable taxes on its own services in accordance with applicable law.

5. User Data and Content

You retain ownership of the business and other content that you upload or enter into the Platform, including:

  • Product information
  • Customer information
  • Supplier information
  • Invoices
  • Stock information
  • Images
  • Business information
  • Other business data

You grant Ashti Ventures Pvt. Ltd. a limited, non-exclusive right to host, store, process, and use such information only as reasonably necessary to:

  • Provide and operate the Platform
  • Provide customer support
  • Maintain security
  • Perform analytics and improve the Platform
  • Troubleshoot technical issues
  • Comply with applicable legal requirements

We do not sell your business data or personal information.

Our collection and processing of personal information is governed by our Privacy Policy.

6. Prohibited Use

You must not use the Platform to:

  • Sell or promote illegal goods or services
  • Upload fraudulent, harmful, or unlawful content
  • Violate applicable laws or regulations
  • Attempt to gain unauthorized access to the Platform
  • Hack, disrupt, or interfere with the Platform
  • Reverse-engineer or attempt to extract source code from the Platform, except where expressly permitted by applicable law
  • Misuse or unlawfully process customer or other personal information
  • Use the Platform to create or operate a competing SaaS platform using Bharatrath's proprietary software, code, or systems
  • Manipulate, abuse, or interfere with payment gateway systems
  • Conduct fraudulent transactions or activities

We may suspend or terminate access where we reasonably believe that a user has violated these Terms or applicable law.

7. Third-Party Services

Certain Platform features may depend on third-party services, including:

  • Payment gateways
  • Cloud hosting and infrastructure providers
  • SMS and email service providers
  • Maps and API services
  • Analytics and technology services

Third-party services may be governed by their own terms, conditions, and privacy policies.

Bharatrath is not responsible for the availability, performance, or failure of third-party services that are outside our reasonable control.

8. Intellectual Property

The Bharatrath Platform, including its software, source code, user interface, design, branding, trademarks, documentation, graphics, and other proprietary materials, is owned by or licensed to Ashti Ventures Pvt. Ltd.

Except as expressly permitted under these Terms, users may not:

  • Copy
  • Reproduce
  • Modify
  • Distribute
  • Sell
  • License
  • Reverse-engineer
  • Create derivative works from

any proprietary part of the Platform.

You may use the Platform only for your legitimate business purposes in accordance with these Terms and your applicable subscription.

9. Cancellation and Refund

9.1 Subscription Refund

For eligible annual subscription plans:

  • A user may request a refund within 7 days from the date of purchase.
  • Eligible refund requests made within this period may qualify for a 100% refund of the applicable subscription amount.
  • No subscription refund will generally be available after the 7-day refund period.
  • Convenience, processing, onboarding, setup, or other specifically identified non-refundable fees will not be refunded, where applicable.

Refunds will be processed using the applicable payment method and may be subject to payment gateway processing timelines.

9.2 Merchant Store Policies

Bharatrath may provide tools that allow merchants to create and operate their own online stores.

Each merchant is responsible for establishing and displaying appropriate policies for their own customers, including, where applicable:

  • Return Policy
  • Cancellation Policy
  • Replacement Policy
  • Refund Policy
  • Shipping or Delivery Policy

Merchants are responsible for complying with applicable laws and for resolving disputes with their own customers.

Bharatrath is not a party to transactions between merchants and their customers and is not responsible for merchant-customer disputes, except where required by applicable law.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Ashti Ventures Pvt. Ltd. will not be liable for indirect, incidental, special, consequential, or punitive losses arising from the use of the Platform, including loss of business, revenue, profits, or business opportunities.

We are also not responsible for service interruptions or losses caused by circumstances beyond our reasonable control, including third-party service failures, banking or payment network failures, internet disruptions, or force majeure events.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

To the extent permitted by applicable law, our aggregate liability arising out of or relating to the Platform will be limited to the amount actually paid by you to Ashti Ventures Pvt. Ltd. for the relevant services during the 12 months immediately preceding the event giving rise to the claim.

11. Modification, Upgrade, or Suspension of Services

We may modify, upgrade, add, remove, restrict, or discontinue features or services of the Platform from time to time.

We may temporarily suspend access where reasonably necessary for:

  • Maintenance
  • Security
  • Technical issues
  • Prevention of misuse
  • Legal or regulatory requirements
  • Other circumstances beyond our reasonable control

Where reasonably practicable, we will provide notice of material service changes or planned interruptions.

12. Suspension and Termination

We may suspend or terminate access to an account if we reasonably determine that the user:

  • Violates these Terms
  • Uses the Platform for fraudulent or unlawful activities
  • Misuses the Platform
  • Fails to make required payments
  • Creates a security or legal risk
  • Provides materially false or misleading information

Users may request account closure or deletion by contacting [email protected].

Certain information may be retained after account closure where required for legal, regulatory, security, accounting, fraud prevention, or legitimate business purposes, as described in our Privacy Policy.

13. Governing Law and Jurisdiction

These Terms are governed by and interpreted in accordance with the laws of India.

Subject to applicable law, courts located in Pune, Maharashtra, India will have jurisdiction over disputes arising from or relating to these Terms.
